Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On September 11, 2023, the Board of Directors of The Cooper Companies, Inc. (the “Company”) authorized the Company to transfer the listing of its common stock, par value $0.10 per share (“Common Stock”), from The New York Stock Exchange (the “NYSE”) to The Nasdaq Stock Market LLC (“Nasdaq”). On September 12, 2023, the Company provided written notice to the NYSE of its intention to voluntarily delist its Common Stock from the NYSE and to list its Common Stock on Nasdaq. The Company expects the listing and trading of its Common Stock on the NYSE to cease at the close of trading on September 25, 2023 and that trading of its Common Stock will commence on Nasdaq on the next trading day, September 26, 2023. The Company’s Common Stock has been approved for listing on Nasdaq and will continue to trade under the stock symbol “COO.”

The Company issued a press release on September 12, 2023 announcing the transfer of the listing of its Common Stock from the NYSE to Nasdaq. The press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

CooperCompanies Announces Transfer of Stock
Exchange Listing to Nasdaq

SAN RAMON, Calif., September 12, 2023 — CooperCompanies (NYSE: COO), today announced that it will transfer the listing of its common stock from the New York Stock Exchange (“NYSE”) to the Nasdaq Stock Market (“Nasdaq”). Cooper expects to begin trading as a Nasdaq-listed company at market open on September 26, 2023, and will continue to trade under the symbol “COO.”
